Terms of Service
These terms govern the use of Sigar, the management software and its integrations provided by SIGARNET S.A.S., Argentine tax ID (CUIT) 30-71898317-3, with its address at Donado 1860 PB, C1430 Ciudad Autónoma de Buenos Aires, Argentina ("SIGARNET", "we", "us"), to the businesses that use it ("the business") and to the people on their staff.
By using Sigar, or by connecting Meta, Google or TikTok accounts to Sigar, the business accepts these terms and the Privacy Policy.
1. The service
Sigar is business management software (ERP). Today its integrations make it possible to:
- read and answer WhatsApp Business, Messenger and Instagram conversations from a shared inbox;
- create and send WhatsApp templates, without sending marketing templates to people who opted out;
- receive leads from Facebook and Instagram lead forms, in Sigar and by email;
- receive comments on the posts of the Facebook Page and the Instagram account;
- record the reactions to the posts of the Facebook Page;
- reflect in Sigar the messages that are deleted on Instagram or WhatsApp and those that are edited on WhatsApp, when the platform reports it (on WhatsApp, only on numbers that are also used with the phone app), and, if the business turns that feature on, delete messages from Sigar;
- view the results of Meta campaigns (read-only) and WhatsApp usage and estimated spend.
In addition, at the request of each business and only for its account, these features can be turned on: team features in the inbox (with an out-of-hours automatic message); copilot and automatic replies with artificial intelligence; comment moderation (reply, hide, unhide, "like" and delete); publishing on its Facebook Page and Instagram account; WhatsApp marketing campaigns; appointments with confirmation and reminder; inquiry pipeline; source of each inquiry and service metrics, with a monthly report by email; sales, with reporting to Meta of those that come from its ads; unified contact; phone notifications; and enhanced privacy for health data. How each one works and what data it uses is explained in the Privacy Policy.
Depending on what it agrees with each business, SIGARNET provides Sigar for the business's own staff to use or, in addition, handles the business's conversations on its behalf with SIGARNET staff.
In preparation Google Business Profile reviews, replies and metrics; TikTok leads, comments, statistics and posts; and more artificial intelligence features (reply suggestions for reviews and comments, and an assistant for questionnaires). Each one is enabled for a business only when it is available and the business turns it on. Until then, we do not receive any data from those platforms.
2. Accounts and access
- The business decides which people on its staff use Sigar and with which permissions. Each person signs in with their own user and is responsible for keeping their credentials safe.
- The business is responsible for what is done with its staff's users.
- Only accounts and assets (pages, Instagram accounts, WhatsApp numbers, ad accounts, Google profiles, TikTok accounts) that the business owns or is authorized to manage may be connected.
- We do not ask for Meta, Google or TikTok passwords: connections are made with each platform's authorization mechanisms.
3. Processing of data on behalf of the business
This section is the data processing agreement between the business and SIGARNET (section 25 of Argentine Law 25,326 and its Decree 1558/01). If the business and SIGARNET sign a specific agreement, that agreement supplements this section.
The business is the controller of the personal data of its customers and of the people who communicate with it. SIGARNET is its processor and service provider (encargado del tratamiento), whether it only provides Sigar or also handles the business's conversations on its behalf (section 1). SIGARNET undertakes to:
- process that data only to provide the agreed service to the business (Sigar and, if the business entrusted it, handling its conversations) and according to its instructions: these terms, the settings it chooses in Sigar and what it requests in writing;
- not use it for its own purposes, not sell or disclose it, not combine it with other businesses' data, and keep each business's data separate;
- keep it confidential and apply the security measures described in the Privacy Policy;
- use only the providers named in the Privacy Policy (including, until it is shut down, those of the previous system in its section 6.4), give notice before adding a new one that receives personal data, and provide the current list to the business or to the platform that requests it. If we stop using a provider, we ask it to delete the data it received;
- help the business answer people's requests for access, rectification and deletion, and pass on to it the requests we receive, including those that arrive through the platforms;
- inform the business of security incidents that affect its data;
- when the service ends, delete the business's data within 30 days or, if it asks first, give it a copy, except what a law requires to be kept. We only keep it for longer, up to 2 years, if the business expressly authorizes it.
4. Obligations of the business
- Legal basis and consent. Have the legal basis or consent needed to process its customers' data, and each person's prior opt-in before writing to them on WhatsApp, Messenger or Instagram or sending them marketing messages.
- Opt-outs. Offer a clear way to opt out in every marketing message and respect opt-outs requested by any means.
- Its own privacy notice. Publish its own privacy notice, stating who the controller is, that SIGARNET provides the service to it, what data it collects, what for and how to exercise rights; link it in its Meta and TikTok lead forms, and include in them the notices and opt-out options that each platform requires.
- Sensitive data. If it processes health data or other sensitive data, obtain the express consent the law requires. Not ask for sensitive data in Meta or TikTok lead forms or send health information to TikTok, and follow each platform's rules for health and other regulated sectors.
- Human support. If it uses automated replies, always offer a clear way to talk to a person.
- Reviews. Not offer rewards in exchange for reviews or ask for them only from satisfied customers.
- People's requests. Answer, with our help, its customers' requests for access, rectification and deletion within the legal time limits.
- Platform policies. Comply with the applicable terms and policies of Meta, WhatsApp, Google and TikTok, including the Meta Advertising Standards, the WhatsApp Business Messaging Policy and the Lead Ads Terms.
5. Human approval
- Everything that Sigar sends or publishes on behalf of the business (messages, templates, replies to comments or reviews, posts) is decided by a person authorized by the business (from its staff or, if it entrusted SIGARNET with handling its conversations, from SIGARNET) or by an automated rule that the business turned on and configured beforehand (for example, the automatic replies with artificial intelligence, the out-of-hours message or the appointment reminder).
- Suggestions made with artificial intelligence are drafts: a person authorized by the business reviews and approves them before they are sent or published.
- Automatic replies with artificial intelligence, if the business turns them on, answer only with the knowledge that the business entered and approved, introduce themselves as a virtual assistant if the business chooses so (each business defines how they introduce themselves) and, when they cannot answer with that knowledge, say that a person from the team will reply and stop answering in that conversation. The business is responsible for the knowledge it approves.
- The consent of the people who receive a campaign is the responsibility of the business that sends it. WhatsApp marketing campaigns are confirmed by a person authorized by the business before each one is sent. If the business chooses to send them to people whose consent is not recorded in Sigar, it declares that it has that consent, and that declaration is the business's responsibility.
- Sigar does not take any automated action on behalf of the business without its prior, specific and express authorization.
6. Rules for each platform
Meta (Facebook, Messenger, Instagram and WhatsApp)
SIGARNET acts as a technology provider for each business, through its Meta app "Sigar", and, if the business entrusts it to SIGARNET, also handles its conversations on its behalf. The business accepts the applicable Meta terms, including those of the WhatsApp Business Platform. We process Meta data according to the Meta Platform Terms and the Developer Policies, and we delete it when the business asks for it or stops being a customer, when the person asks for it, when Meta requires it, or if we stop offering Sigar or the Meta integration (Privacy Policy, section 12).
Google Business Profile In preparation
- The business connects its profile in one of two ways: it adds our integration account as a manager of its profile, after authorizing us in writing, or, later on, it signs in with its own Google account and authorizes our app "Sigar". In this way it authorizes us to read its reviews and to reply to them on its behalf.
- Each reply is approved by a person of the business, and the business is responsible for its content. Sigar publishes it on the business's behalf.
- We inform the business, within 48 hours, of every change Sigar makes to its profile (for example, a published reply).
- If the business stops using Sigar, within 7 business days we remove our account from its profile so that it regains exclusive control.
- Google content is kept for no more than 30 days and is used according to Google's Limited Use requirements (Privacy Policy, section 13).
TikTok In preparation
- SIGARNET processes TikTok data, through its app "Sigar", only on behalf of the business, as its processor and service provider, including leads, which it receives as the business's vendor and uses only according to its instructions.
- We do not share that data or ad metrics with third parties, except with those acting on behalf of the business, and we do not build profiles with them.
- If the business removes the "Sigar" app's access in TikTok, we delete its access tokens immediately and the data received from TikTok within 30 days.
7. Prohibited uses
Sigar may not be used to:
- send spam or messages to people who did not agree to receive them;
- sell, rent or disclose personal data, or build profiles of people with platform data;
- ask for sensitive data in lead forms, or send a platform data that its rules prohibit;
- make decisions about a person's housing, employment, insurance, education, credit, government benefits or immigration status with platform data;
- infringe third-party rights, break the law or breach the platforms' policies.
8. Third-party services and costs
The integrations depend on services from Meta, Google and TikTok. SIGARNET does not control their availability and is not responsible for changes, restrictions or interruptions that those platforms apply. Costs charged by the platforms (for example, WhatsApp messages or ad spend) are paid by the account holder. The cost of artificial intelligence (OpenAI) for the features that the business turns on is included in the service, with a monthly cap for each business: when the cap is reached, those features stop until the next month. The data the business enters in Sigar belongs to the business.
9. Suspension, termination and disconnection
We may suspend access in case of breach of these terms or of the platforms' policies. The business may stop using Sigar and disconnect its accounts at any time. What happens to the data when a business leaves is explained in the Privacy Policy, section 12, and on the Data deletion page.
10. Liability
The service is provided "as is". To the extent permitted by law, SIGARNET is not liable for indirect damages, loss of profits or loss of data arising from the use of, or inability to use, the service.
11. Changes to these terms
We may update these terms. We publish the current version on this page, with its date, and if the change is important we inform the businesses by email beforehand.
12. Governing law
These terms are governed by the laws of the Argentine Republic. Any dispute is submitted to the ordinary courts of the Ciudad Autónoma de Buenos Aires.
